Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of Cyvogenix's cybersecurity services, including our Security Operations Center (SOC), threat intelligence, incident response, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

Services Description

Cyvogenix provides enterprise cybersecurity services including but not limited to:

  • 24x7 Security Operations Center (SOC) monitoring
  • Threat detection and incident response
  • Vulnerability assessment and penetration testing
  • Security consulting and advisory services
  • Compliance readiness and audit support
  • Threat intelligence and research

Specific services, deliverables, and service levels are defined in individual Service Agreements or Statements of Work (SOW).

User Obligations

As a client of Cyvogenix, you agree to:

  • Provide accurate and complete information
  • Grant necessary access to systems and data for service delivery
  • Maintain appropriate security controls in your environment
  • Respond promptly to security incidents and recommendations
  • Comply with all applicable laws and regulations
  • Not use Services for illegal or unauthorized purposes
  • Maintain confidentiality of account credentials

Service Level Agreement

Cyvogenix commits to the following service levels for SOC services:

  • Availability: 99.97% uptime for SOC monitoring services
  • Critical Alerts: 15-minute response time
  • High Priority: 1-hour response time
  • Medium Priority: 4-hour response time
  • Low Priority: 24-hour response time

Specific SLAs may vary based on service tier and are detailed in your Service Agreement.

Confidentiality

Both parties agree to maintain the confidentiality of all proprietary and sensitive information disclosed during the course of service delivery. This includes:

  • Security vulnerabilities and incident details
  • System architecture and configurations
  • Business operations and strategies
  • Proprietary methodologies and tools

Confidential information may only be disclosed as required by law or with prior written consent.

Intellectual Property

All intellectual property rights in Cyvogenix's tools, methodologies, reports, and deliverables remain the property of Cyvogenix. Clients receive a limited, non-exclusive license to use deliverables for internal security purposes only.

Client data and information remain the property of the client. Cyvogenix may use anonymized, aggregated data for threat intelligence and service improvement purposes.

Limitation of Liability

To the maximum extent permitted by law:

  • Cyvogenix's total liability shall not exceed the fees paid for services in the 12 months preceding the claim
  • Cyvogenix is not liable for indirect, incidental, or consequential damages
  • Cyvogenix does not guarantee prevention of all security incidents
  • Client is responsible for implementing recommended security controls

Nothing in these Terms excludes liability for fraud, gross negligence, or matters that cannot be excluded by law.

Termination

Either party may terminate services with 30 days written notice. Cyvogenix may terminate immediately if:

  • Client breaches these Terms or Service Agreement
  • Client fails to pay fees when due
  • Client uses Services for illegal purposes

Upon termination, Cyvogenix will provide final reports and return or securely destroy client data as requested.

Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in San Francisco, California.

Changes to Terms

Cyvogenix reserves the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on our website. Continued use of Services after changes constitutes acceptance of modified Terms.
